Terms of Service

These terms govern your use of Cogliva. By using the service, you agree to them. Please read them carefully.

Acceptance of terms

By accessing or using Cogliva, you agree to be bound by these terms. If you do not agree, please do not use the service.

Description of service

Cogliva is an AI-native strategy and management intelligence platform that helps you structure business challenges and move from diagnostic to business strategy to tactical plan. It generates diagnostics, strategies, plans, reports, agendas, recommendations, and related outputs, lets you organize work by organization and project, and supports exporting 6+ client- and executive-ready formats including PDF, Word, and PowerPoint. It also includes Strategic Signals, which generates monitoring topics and queries from your business context and surfaces relevant external developments as alerts, with optional email digests, a Management Copilot that produces structured guidance on a specific challenge on demand, a Strategy Workbench for capturing and organizing strategic topics per organization, Venture Lab for building and validating new ventures from opportunity to launch, and Liva, a built-in AI assistant that helps you draft, refine, and pressure-test content inline as you work. These features draw on Cogliva Intelligence, a managed, curated knowledge layer that grounds the platform’s outputs.

Optional add-ons may extend the service with additional modules. The Systems add-on adds Business Management Systems capabilities, starting with an ISO 9001-grounded Quality System Alignment review. Add-ons are billed in addition to your base plan and are available only on eligible plans.

For selected organizations, we also offer optional guided deployment support through the Strategy Deployment Studio — for example, use-case discovery, context setup, workflow design, and pilot support. Any such engagement is arranged separately, is provided to support your own work and judgment, and does not change the decision-support nature of the platform or its outputs.

User accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Please keep your login information secure and notify us of any unauthorized use.

All accounts are required to set up two-factor authentication on first sign-in. You are responsible for keeping your authenticator app and one-time recovery codes secure, as they are needed to access your account. For additional security, signed-in sessions are ended automatically after a period of inactivity.

Some plans, such as the Enterprise Strategy Workbench, support more than one user on a single account. The Enterprise Strategy Workbench supports up to three users in total, and all three must use an email address on the account owner's domain; each additional user is activated after review. The account owner is responsible for the users they add, for their use of the service, and for ensuring they are entitled to access the shared workspace and its content.

Administrator access and support

You acknowledge that a small number of authorized Cogliva administrators may access your account and its content where reasonably needed to provide support, operate and secure the service, investigate suspected misuse or a violation of these terms, or comply with a legal obligation. To support you faithfully, an administrator may temporarily view the service as it appears to a user.

Such access is limited to what is necessary, restricted to authorized personnel, and recorded in an internal audit log. It does not require your password or two-factor authentication codes. How this access is handled in relation to your personal data is described in our Privacy Policy.

Your content

You are responsible for the information you enter into the platform. You should ensure you have the right to use that information and that it does not violate any law or third-party rights.

Where Cogliva processes personal data on your behalf as a processor, the Data Processing Addendum applies unless a separate written agreement has been signed.

AI-generated outputs

Outputs generated by Cogliva are provided for decision support only. They are not professional, legal, financial, or other regulated advice. You are responsible for reviewing outputs and deciding how to act on them.

Cogliva applies a number of internal safeguards — together referred to as the Semantic Control Layer — intended to improve the accuracy and traceability of AI output. These include grounding generation in your business context and a curated knowledge base, field-level rules that constrain how one type of information may be reused, automated post-generation review checks, source verification for Strategic Signals, and internal provenance records of how a value was produced. These measures are engineering safeguards designed to reduce error and improve traceability; they are not a certification, audit, or independent verification, and they do not guarantee that outputs are accurate, complete, or fit for a particular purpose. You remain responsible for reviewing and validating outputs before relying on them.

The Management Copilot produces AI-generated guidance, frameworks, indicators, and suggested next steps in response to a challenge you describe. Like the other outputs, it is provided for decision support only and is intended to support your own judgment, not to replace it.

Liva, the built-in AI assistant, produces drafts, suggested edits, options, and questions inline as you work. Its suggestions are not applied until you choose to insert, replace, or append them, and — like all Cogliva outputs — they are provided for decision support only and remain subject to your own review and judgment.

Strategic Signals generates monitoring topics, queries, and alerts and scores their relevance to support your own scanning and judgment. Where alerts are grounded against public sources — for example, to confirm a verbatim headline or validate a claim against the original source — this is done to improve accuracy and traceability; it does not guarantee the accuracy, completeness, or availability of those sources, and you remain responsible for reviewing and validating any alert before acting on it. It does not guarantee that every relevant development is captured, and it is not a substitute for your own due diligence. You are responsible for any digest recipients you configure and for confirming you may send summaries to them, and you must use the feature in line with applicable laws and the terms of any external sources or third-party tools you rely on.

Where the Systems add-on is used, any management system report or alignment output is an AI-assisted suitability assessment intended to support your thinking and preparation. It does not replace the official standard, certification advice, or an accredited audit, and final interpretation should be confirmed with a qualified professional.

No guarantee of results

Cogliva does not guarantee any specific business outcome or result. The service is provided to assist your thinking and planning, not to guarantee performance.

Subscriptions and pricing

Where paid plans apply, pricing, billing, and plan details are described at the point of purchase or on our pricing page. Optional add-ons are billed in addition to your base plan.

Subscriptions are self-service. You can manage your subscription from your account, including updating payment details, changing plans, and cancelling. Plan upgrades on an active subscription apply in place with prorated billing. If you cancel, your plan remains active until the end of the current billing period, after which it will not renew.

Intellectual property

Cogliva and its underlying software, content, and branding are owned by us or our licensors. You retain ownership of the content you submit, and you grant us the limited rights needed to operate the service and generate your outputs.

Acceptable use

You agree not to misuse the service, including by attempting to disrupt it, access it without authorization, reverse engineer it, or use it for unlawful purposes.

Website context extraction: when you use the optional feature that reads a company website to pre-fill a diagnostic, you confirm you are entitled to submit that address for this purpose. Extracted context is generated automatically from public pages on a best-effort basis, may be incomplete or inaccurate, and must be reviewed and verified by you before you rely on it.

Limitation of liability

To the maximum extent permitted by law, Cogliva is provided “as is” without warranties of any kind, and we are not liable for indirect, incidental, or consequential damages arising from your use of the service.

Termination

We may suspend or terminate access if these terms are violated or if needed to protect the service or other users. You may stop using the service at any time.

Changes to terms

We may update these terms from time to time. When we do, we will update the effective date above. Continued use after changes means you accept the updated terms.

Governing law

These terms are governed by the laws of Dubai, UAE, without regard to conflict-of-law principles.
